General Intellectual Property (IP) Assignment Agreement

A General IP Assignment Agreement is an agreement that transfers intellectual property rights from one party to another.

When should I use it?

  • When someone has created intellectual property for your business, you should have them sign an IP Assignment Agreement to transfer ownership of the intellectual property. For example, a training manual, a logo, or an entire website.

  • You do not need this agreement if you already have an agreement with the creator of the intellectual property that includes an assignment provision. For example, in an employment or contractor agreement.

Why is it important?

  • It's important to ensure any intellectual property created for your company is actually owned by the company and not by the person that created it.

Tips

  • Be Specific: Provide detail when describing the intellectual property in the agreement.

  • Be Consistent: Ensure this agreement does not contradict anything in an existing agreement.
